Platform purpose and professional use
OTHRS is an intelligent infrastructure platform that connects housing providers, care organisations, commissioners, investors and advisors across the UK social and care housing ecosystem. It is intended for use in a professional capacity by organisations and individuals operating in this sector.
By accessing or using OTHRS you agree to these Terms of Service ("Terms"). If you do not agree, you must not use the platform.
User eligibility
To use OTHRS you must:
- be at least 18 years of age;
- have authority to act on behalf of any organisation you register;
- be using the platform in connection with legitimate professional activity in the UK social or care housing sector or a related discipline; and
- not be barred from receiving services under the laws of England and Wales.
Account registration requirements
You must register with accurate, current and complete information. You are responsible for keeping your account credentials confidential and for all activity that occurs under your account. You must notify us immediately of any unauthorised use.
Organisation verification
Organisations may be required to complete identity and credentials verification before accessing certain platform features, including Deal Rooms and partner matching. OTHRS may, at its discretion, request supporting documentation and may decline, pause or revoke verification at any time.
User responsibilities
- Maintain accurate organisation and profile information;
- Only invite individuals who have authority to participate on your behalf;
- Respect the confidentiality of information shared inside Deal Rooms;
- Comply with all applicable laws, including data protection and financial promotions rules;
- Report misuse, security incidents or suspected fraud to us promptly.
Acceptable platform conduct
Use of the platform is also governed by our Acceptable Use Policy. You must not: impersonate any person or organisation; circumvent verification, access or billing controls; collect data about other users without consent; or use the platform to send unsolicited commercial communications.
Subscription terms
Access to paid features is provided under a subscription plan. Plan availability, features, seats and pricing are described on the OTHRS site at the time of purchase. We may amend plans on reasonable notice. Existing paid terms continue until the end of the then-current billing period.
Billing and renewals
Subscriptions are billed monthly or annually in advance and renew automatically at the end of each billing period at the then-current rate, unless cancelled before renewal. VAT is added where applicable. Full billing terms are set out in our Subscription & Billing Policy.
Cancellation terms
You may cancel your subscription at any time from the Account & Plan area. Cancellation takes effect at the end of the current billing period; access continues until that date. Fees already paid are non-refundable except where required by law.
Intellectual property
The OTHRS platform, including software, design, branding, copy and content, is owned by OTHRS Ltd or its licensors and is protected by intellectual property laws. No rights are granted to you other than the limited right to use the platform in accordance with these Terms.
Content ownership
You retain ownership of content you upload to OTHRS, including organisation profiles, opportunity descriptions and documents shared inside Deal Rooms. You grant OTHRS a worldwide, royalty-free licence to host, process and display that content solely to operate and improve the platform.
Deal Room usage
Deal Rooms are private collaboration spaces between named participants. Content, messages, tasks and documents shared inside a Deal Room are confidential to the participants. You must not export or disclose Deal Room content outside the participating organisations without consent. OTHRS retains an operational record of activity for security and audit purposes.
Network participation rules
OTHRS connects members through matching, introductions and discovery. By participating, you accept that other members may view your public profile, coverage, opportunities and verification status. You may control visibility from your profile and organisation settings.
Liability limitations
To the maximum extent permitted by law, OTHRS' total aggregate liability arising out of or relating to these Terms or the platform is limited to the fees paid by you in the twelve months preceding the event giving rise to the claim. OTHRS is not liable for indirect, consequential, special or punitive damages, loss of profit, loss of business or loss of data. Nothing in these Terms limits liability that cannot be limited by law.
Suspension and termination rights
OTHRS may suspend or terminate your access immediately where you breach these Terms, our Acceptable Use Policy, or where required by law. We may also terminate for convenience on reasonable notice. On termination, your right to access the platform ends; we may retain records as required for legal, audit and tax purposes.
Governing law and jurisdiction
These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the platform.
